Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BOSS (Business Operating Studio Systems) platform and related services (collectively, the "Service") operated by Cintrico, Inc. ("Cintrico," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The term "you" refers to you individually and, if applicable, the organization you represent.
2. Description of Service
BOSS is an AI-powered business operating platform that provides a suite of 63 specialized studios organized across four operational pillars: Production, Operation, Organization, and Systems. The platform includes:
- AI agents that assist with content creation, code generation, design, analytics, and workflow automation
- Studio environments with integrated documents, tables, files, messaging, RAG search, API/webhook connectivity, and spawned infrastructure
- Four core engines: Chat Engine, Integration Engine, Service Engine, and Orchestration Engine
- Knowledge graph-powered intelligence that compounds through use
- Team collaboration features including shared workspaces, permissions, and real-time editing
We reserve the right to modify, suspend, or discontinue any feature or component of the Service at any time, with reasonable notice to affected users.
3. Account Registration and Responsibilities
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, whether authorized by you or not
- Promptly notifying us of any unauthorized access to or use of your account
- Ensuring that all users within your organization workspace comply with these Terms
You may not share your account credentials, create multiple accounts to circumvent usage limits, or use another person's account without their express permission.
4. Subscription Plans and Billing
The Service is offered under various subscription plans, including free and paid tiers. Paid subscriptions are billed on a monthly or annual basis through Stripe. By subscribing to a paid plan, you agree to the following:
- You authorize Cintrico to charge your designated payment method at the beginning of each billing cycle
- Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy
- We may change pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle
- Failure to pay may result in suspension or termination of your account
- Usage-based charges (e.g., AI compute credits, storage overages) are billed in arrears and detailed in your invoice
5. Acceptable Use Policy
You agree not to use the Service to:
- Create, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Generate content that infringes on intellectual property rights, privacy rights, or other proprietary rights of any third party
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service
- Abuse AI agents by attempting to bypass safety controls, extract system prompts, or manipulate agents into producing harmful outputs
- Conduct automated scraping, data harvesting, or denial-of-service attacks against the Service
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service to develop a competing product or service
- Circumvent usage limits, rate limits, or access controls through any technical means
- Transmit viruses, malware, or any other malicious code through the Service
Violation of this policy may result in immediate suspension or termination of your account without notice.
6. Intellectual Property
Cintrico's Property: The Service, including all software, algorithms, AI models, user interface designs, documentation, and branding, is the exclusive property of Cintrico, Inc. and is protected by copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you ownership of or any license to the Service itself, except the limited right to use it as described herein.
Your Content: You retain all ownership rights to content you create, upload, or input into the Service ("Your Content"). By using the Service, you grant Cintrico a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you.
AI-Generated Outputs: Content generated by AI agents within your workspace in response to your prompts and instructions belongs to you. Cintrico makes no claim of ownership over AI-generated outputs produced at your direction.
7. AI-Generated Content Disclaimer
AI-generated content is produced by machine learning models and may contain errors, inaccuracies, or biases. You acknowledge and agree that:
- AI-generated outputs should be reviewed by qualified humans before being relied upon for any consequential decision
- AI-generated content does not constitute legal, medical, financial, tax, or other professional advice
- Cintrico does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output
- You are solely responsible for evaluating and using AI-generated outputs, including verifying code for security vulnerabilities, factual content for accuracy, and creative outputs for appropriateness
- AI-generated outputs may occasionally produce content that is similar to existing works. It is your responsibility to ensure that your use of AI-generated content does not infringe third-party rights
8. Service Availability and SLA
We target 99.9% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance via email and in-platform notification. In the event of an extended outage exceeding our SLA target, eligible customers on paid plans may request service credits in accordance with our Service Level Agreement, available upon request.
We do not guarantee uninterrupted or error-free operation of the Service. Factors outside our control, including third-party provider outages, network disruptions, and force majeure events, may affect availability.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINTRICO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF CINTRICO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CINTRICO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CINTRICO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Cintrico, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
11. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms.
Upon termination: (a) your right to access the Service will cease immediately; (b) we will retain your data for 90 days to allow for data export, after which it will be deleted in accordance with our Privacy Policy; (c) any outstanding fees will remain due and payable; and (d) provisions that by their nature should survive termination will remain in effect, including Sections 6, 7, 9, 10, 12, and 13.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
13. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
You agree to resolve disputes on an individual basis. Class actions, class arbitrations, and representative actions are not permitted. You waive any right to participate in a class action lawsuit or class-wide arbitration against Cintrico.
14. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email, in-platform notification, or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms.
